As part of our practice, we regularly advise financial institutions in a wide array of matters related to their ongoing operations. This includes counseling regarding compliance with Securities and Exchange Commission (SEC), Federal Reserve Board and Federal Deposit Insurance Corporation (FDIC) reporting and disclosure requirements. We also help charter banking institutions and negotiate mergers and acquisitions for banks and bank holding companies. In addition, we counsel corporate trust departments in connection with their involvement in transactions such as the issuance, purchase and sale of revenue bonds and certificates of participation.

Our attorneys regularly negotiate and restructure workouts for troubled loans and represent secured and unsecured lenders in bankruptcy proceedings. We also represent institutional investors in the purchase and sale of debt at par and on a distressed basis in the secondary market using Loan Syndications and Trading Association (LSTA) documentation.

Understanding the interplay of issues that arise in the course of these transactions, our Banking and Finance Group attorneys also work closely with our other practices to ensure the most thorough and cost-effective representation for our clients. The breadth of services we provide to lenders includes counseling on employment issues, employee benefits, pension plans and compliance with state and federal statutory mandates. We also prepare, review and implement employment contracts, termination agreements, confidentiality and nondisclosure agreements, severance packages, company manuals, handbooks and statements of policy.

Although we strive to avoid litigation, we understand that it is sometimes unavoidable. In instances where litigation is the best course of action, we draw on the extensive experience of the firm’s litigators, including those in our Financial Services Litigation Group.
